1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GadgetVault ("we," "our," "us," or "Company") governing your use of our mobile application, which provides device protection services and a secure marketplace for buying and selling gadgets. By downloading, installing, or using the GadgetVault app, you agree to be bound by these Terms and our Privacy Policy.

2. Platform Description

GadgetVault is a mobile application that provides:

  • Device Protection Plans: Comprehensive insurance coverage for smartphones, tablets, and accessories against damage, theft, loss, and malfunction
  • Secure Marketplace: A trusted platform where verified users can buy and sell gadgets safely with built-in protection
  • In-App Communication: Messaging features including text, voice messages, and image sharing between buyers and sellers
  • Transaction Services: Secure payment processing with escrow protection

3. Eligibility and Registration

3.1 Age Requirement

You must be at least 18 years old to use GadgetVault. By using our app, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. For marketplace transactions and device protection plans, identity verification may be required.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Device Protection Plans

4.1 Coverage

Our device protection plans provide coverage for enrolled devices against:

  • Accidental damage (cracked screens, water damage, physical damage)
  • Theft and loss (subject to verification)
  • Mechanical or electrical breakdown after manufacturer warranty expires
  • Other covered incidents as specified in your plan

4.2 Enrollment Requirements

To enroll a device, you must:

  • Provide accurate device information (make, model, IMEI/serial number)
  • Submit proof of purchase and ownership
  • Provide photos of the device in its current condition
  • Pay the applicable premium for your chosen plan
  • Enroll devices within the specified timeframe from purchase date

4.3 Claims Process

When filing a claim:

  • You must report incidents within 48 hours of occurrence
  • Provide all required documentation (photos, police reports for theft, incident details)
  • Pay applicable deductibles as specified in your plan
  • Cooperate with our claims investigation process
  • Allow reasonable time for claim processing and resolution

4.4 Exclusions

Protection plans do not cover:

  • Pre-existing damage or conditions
  • Intentional damage or misuse
  • Cosmetic damage that doesn't affect functionality
  • Loss or theft without proper documentation
  • Devices reported lost or stolen to carriers or authorities before claim submission
  • Software issues, viruses, or data loss
  • Unauthorized repairs or modifications

4.5 Plan Terms

Protection plans are subject to monthly or annual premiums. You may cancel at any time, but refunds are provided only as specified in your plan terms. Coverage limits, deductibles, and claim limits apply as outlined in your specific plan.

5. Marketplace Terms

5.1 User Responsibilities

When using the marketplace, you agree to:

  • List only items you legally own and have authorization to sell
  • Provide accurate descriptions, photos, and condition assessments
  • Price items fairly and honor accepted offers
  • Communicate promptly and professionally with other users
  • Ship items promptly and as described
  • Inspect received items and report issues within specified timeframes

5.2 Prohibited Items

You may not list or sell:

  • Stolen, counterfeit, or replica devices
  • Devices with outstanding balances or carrier locks (unless disclosed)
  • Blacklisted or blocked devices
  • Items without proper ownership documentation
  • Broken or non-functional items (unless clearly disclosed)

5.3 Transactions and Payments

All marketplace transactions must be completed through the app using our payment system. We provide escrow services to protect both buyers and sellers. Funds are held securely until:

  • The buyer receives the item
  • The item matches the listing description
  • The buyer confirms satisfaction or the inspection period expires

5.4 Fees

We charge transaction fees for marketplace sales as disclosed at the time of listing. Payment processing fees may also apply. All fees are non-refundable except in cases of platform error or as required by law.

5.5 Ratings and Reviews

Users may rate and review transactions. Reviews must be honest, accurate, and based on actual experiences. Fake reviews, review manipulation, or harassment through reviews is strictly prohibited.

6. In-App Communication

6.1 Messaging Features

The app provides messaging features including text messages, voice messages, and image sharing. These features are intended solely for legitimate transactions and app-related communication.

6.2 Communication Standards

When communicating through the app, you must:

  • Be respectful, professional, and courteous
  • Not harass, threaten, or abuse other users
  • Not share personal contact information to circumvent platform fees
  • Not spam or send unsolicited commercial messages
  • Not share inappropriate, offensive, or illegal content

6.3 Message Monitoring

We may monitor communications for security, fraud prevention, and quality assurance purposes. Messages may be reviewed in response to user reports or suspected violations of these Terms.

7. User Conduct and Prohibited Activities

You agree not to:

  • Use the app for any illegal or unauthorized purpose
  • Engage in fraudulent activities or scams
  • Submit false claims or provide false information
  • Attempt to circumvent verification or security measures
  • Use automated tools, bots, or scripts to access the app
  • Interfere with or disrupt the app's functionality
  • Impersonate another person or entity
  • Collect or harvest user information
  • Reverse engineer, decompile, or disassemble the app
  • Upload viruses, malware, or harmful code

8. Dispute Resolution

8.1 Marketplace Disputes

If disputes arise between buyers and sellers, we provide mediation services. Both parties must participate in good faith. We may request additional information, photos, or documentation to resolve disputes. Our resolution decisions are final and binding.

8.2 Claims Disputes

For protection plan disputes, you may appeal claim denials by providing additional documentation. Appeals must be submitted within 30 days of the initial decision.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using GadgetVault, you consent to our data practices as described in the Privacy Policy.

10. Intellectual Property Rights

10.1 Our Content

The GadgetVault app, including its design, functionality, software, logos, and all content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

10.2 User Content

You retain ownership of content you submit (listings, photos, messages). However, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content for operating and improving our services. You represent that you own or have rights to all content you submit.

11. Third-Party Services

The app may integrate with third-party services (payment processors, shipping providers, insurance partners). We are not responsible for the availability, accuracy, or reliability of these services. Your use of third-party services is subject to their own terms and policies.

12. App Availability and Modifications

We strive to maintain app availability but do not guarantee uninterrupted access. The app may be unavailable due to maintenance, updates, or technical issues. We reserve the right to modify, suspend, or discontinue any features or the entire app at any time without notice. We are not liable for any modification, suspension, or discontinuation.

13. Disclaimers and Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

WE ARE A PLATFORM CONNECTING BUYERS AND SELLERS. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ITEMS LISTED, THE TRUTH OR ACCURACY OF LISTINGS, OR THE ABILITY OF SELLERS TO COMPLETE TRANSACTIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GADGETVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Device damage or loss beyond protection plan coverage
  • Failed transactions or disputes between users
  • Unauthorized access to your account
  • App errors, bugs, or interruptions

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₦50,000 (FIFTY THOUSAND NAIRA), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless GadgetVault and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the app
  • Your violation of these Terms
  • Your listings, transactions, or marketplace activities
  • Your violation of any rights of others
  • False or fraudulent claims

16. Account Suspension and Termination

16.1 Our Rights

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • You submit false claims or information
  • You harm other users or our business
  • Your account shows suspicious activity
  • Required by law or legal process

16.2 Effect of Termination

Upon termination, you lose access to the app and your account. Active protection plans may continue according to their terms. Pending marketplace transactions will be resolved according to our policies. Certain provisions (intellectual property, indemnification, limitation of liability) survive termination.

16.3 Your Rights

You may terminate your account at any time through the app settings. Termination does not relieve you of obligations incurred before termination.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria, or through arbitration as we may elect. You consent to the exclusive jurisdiction of these courts.

18. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through:

  • In-app notification
  • Push notification
  • Email to your registered address
  • Updating the "Last updated" date

Your continued use after changes constitutes acceptance. If you don't agree to changes, you must stop using the app.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GadgetVault.

19.2 Severability

If any provision is found unenforceable, it will be modified to reflect the parties' intention, and remaining provisions remain in full effect.

19.3 No Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.

19.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.
